SARFAESI Act Recovery Agent Conduct

SARFAESI Act Recovery Agent Conduct

The enforcement of security interests under the Securitisation and Reconstruction of Financial Assets and Enforcement of Security Interest Act, 2002 (SARFAESI Act) grants secured creditors sweeping powers to recover non-performing assets (NPAs) without the prior intervention of a court or tribunal. However, this statutory privilege under Section 13 is strictly conditional. The deployment of third-party recovery agents and direct enforcement agencies by banks and non-banking financial companies (NBFCs) remains subject to statutory limits, constitutional guarantees under Articles 14 and 21, and the supervisory directions of the Reserve Bank of India (RBI).

Extralegal coercion, harassment, unannounced physical trespass, or intimidation by recovery agents during the invocation of Section 13(4) or pre-litigation recovery vitiates the enforcement process. Both the Supreme Court of India and the Bombay High Court have consistently held that secured creditors cannot outsource the sovereign administration of law to private strongmen. Lenders who fail to maintain institutional control over their recovery personnel face severe exposure: stay orders and quashing of possession notices before the Debt Recovery Tribunal (DRT) under Section 17, parallel criminal prosecution of bank executives under the Bharatiya Nyaya Sanhita, 2023 (BNS), and penal regulatory action by the RBI.

RBI Directives on Recovery Agents and Outsourcing Safeguards

The Reserve Bank of India has repeatedly intervened to regulate the operational conduct of lending institutions. Under the master circulars on the Reserve Bank of India Guidelines on Engagement of Recovery Agents, read alongside the Fair Practices Code and the Master Direction – Non-Banking Financial Company – Systemically Important Non-Deposit taking Company and Deposit taking Company (Reserve Bank) Directions, the central bank has imposed non-negotiable operational requirements on regulated entities.
